1. The Agreement
These terms form a binding agreement between you and NMK GLOBAL LINKS PTE. LTD. Once you open a ticket, book a session or accept a plate sheet, both sides are bound by what follows. The agreement also includes any written order confirmation that names the bays, the schedule and the fee for a particular build, and where a confirmation conflicts with these terms the confirmation prevails for the work it covers.
These terms replace any earlier understanding about the desk, whether written or spoken, unless that understanding appears in a signed order confirmation. If any part of these terms is found to be unenforceable, the rest continues in force, and the unenforceable part is read in the narrowest way that keeps its purpose.
The desk is a working bench rather than a marketplace. Nothing in these terms creates a partnership, a joint venture, an agency or an employment relationship between the parties. Each side remains responsible for its own business, its own tax affairs and its own staff.
2. Definitions
In these terms the following words carry the meanings below, and the singular includes the plural.
- The Desk means the link exchange operation of NMK GLOBAL LINKS PTE. LTD. and the people who work on it.
- The Company means NMK GLOBAL LINKS PTE. LTD., registered at 10 Jalan Besar #13-04 Sim Lim Tower 208787, Singapore (SG).
- Partner means the person or organisation that opens a ticket or receives a plate build.
- Ticket means the written record of a request, including the two anchors, the subject, the decision and the coordinator name.
- Anchor means a page address that sends or receives a link under a ticket.
- Plate means a directory of entries that describes a shelf or a partner network.
- Shelf means the published set of links that a partner maintains through the Desk.
- Bay means a numbered position on a plate or shelf.
- Session means a booked block of time at the desk, whether a splice bay session or a handover evening.
- Record means any ticket, plate sheet, schedule, audit log, test reading or signed handover sheet held by the Desk.
3. Eligibility and Authority
The Desk works with organisations, businesses and professional networks. Partners must be at least eighteen years of age and must have authority to act for the organisation they represent. By opening a ticket, the person doing so confirms that they can bind their organisation to these terms, or that they have the organisation permission to request the work described.
If a partner is acting for a network rather than a single site, the Desk may ask for a simple list of member pages and for confirmation that each member has agreed to appear on a plate. The partner remains responsible for obtaining those agreements and for keeping the list current. The Desk will not add a member page to a plate on the strength of an assumption.
The Desk may decline to work with an organisation where there is a reasonable concern about the source of its authority, the accuracy of its stated identity, or the honesty of its description of a page. A decline is explained in writing, and an appeal can be made to the desk lead.
4. The Desk Services
The Desk provides six routines, described in detail on the services page. In summary they are cross-wire order handling, hub plate builds, uplink schedule weeks, link audit days, splice bay sessions and handover test evenings. Each routine has a stated output, and the Desk is responsible for delivering that output with the care described on the services page.
The Desk does not provide search engine ranking services, paid traffic, advertising placement, or any promise that a link will produce a particular volume of visitors. Links are structural connections between pages, and their value depends on the pages themselves. A partner who expects a link to deliver traffic should treat the connection as one small part of a wider publishing effort rather than as a purchase of visitors.
The Desk may use subcontractors for hosting, email and record storage, but remains responsible to the partner for the work. Any change of subcontractor that affects a partner record is notified before it takes effect where practicable.
5. Ordering and Acceptance
A ticket is opened when a written request reaches the Desk by the contact form, by email to admin@nmkglobal.lol, or in person during a visit. A request is not an order until the Desk has recorded a decision to accept it. The Desk aims to reply within one desk day, which means before 18:00 Singapore time on the next working day.
Acceptance is recorded on the ticket with the two anchors, the subject, the proposed bay and the name of the coordinator. If a request is declined, the ticket states the reason and, where possible, suggests a better match inside the network. A declined request creates no obligation on either side and no fee is charged for the review.
A partner may withdraw a ticket before a session is booked without charge. Once a session has been booked, withdrawal is handled under the session rules below. The Desk may also withdraw an acceptance before a session if the reviewed pages have changed in a way that no longer fits the bay.
6. Partner Obligations
The partner agrees to keep its pages live, readable and free of content that would embarrass a reader who follows a link. The partner agrees to report a change of page address before the change happens so that the Desk can re-anchor the link rather than remove it. The partner agrees to tell the Desk plainly when it leaves the shelf, so that the record can be closed properly.
The partner agrees to provide accurate contact details and to keep them current, to answer questions from its own coordinator within a reasonable time, and to attend a handover evening where the build requires one. The partner is responsible for the content of its pages, for the accuracy of any subject description it supplies, and for any third party rights in material it publishes.
The partner agrees not to misuse the Desk, including by submitting a page that is not under its control, by describing a page in a way that misleads a reviewer, or by attempting to place a link for a subject that the Desk has declined. Misuse may lead to suspension under the suspension clause below.
7. Link Content Standards
The Desk maintains a shelf that a reader can browse with confidence, and the content standards protect that confidence. A page offered for a bay must have a genuine subject, must be readable by an ordinary visitor, and must not depend on deception to attract its readers. The standards below describe what the Desk will not place on a shelf.
- Pages that exist only to aggregate links with no original content of their own.
- Pages that conceal their true subject, owner or purpose from a visitor.
- Material that infringes copyright, trade marks or other third party rights.
- Material that is unlawful in Singapore or in the partner jurisdiction.
- Material that targets or exploits children or vulnerable people.
- Pages that distribute malicious software or deceive visitors into disclosing credentials.
Where the Desk becomes aware that a placed page breaches a standard, the link is removed immediately and the partner is told why. A partner who believes that a removal was mistaken can ask for a second review, and the review is carried out by a coordinator who did not make the first decision.
8. Placement and Bays
A bay is a position of trust, and it is assigned by the Desk after review rather than bought outright. The Desk places a link in the bay whose subject fits it best, and the bay number is recorded on the plate sheet. A partner may request a particular bay, and the Desk will consider the request, but a request does not create a right to that bay.
Bays may be rearranged when a plate is rebuilt, when a family of pages grows, or when a partner leaves and its bay becomes free. A rearrangement is announced in advance and the partner receives a revised plate sheet. A rearrangement does not change the terms of the connection itself, only its position on the shelf.
The Desk does not sell bay positions by auction and does not offer exclusivity over a subject unless a written order confirmation says so. Where exclusivity is granted, it is limited to the subject named in the confirmation and to the term stated there.
9. Schedules and Notice
Every calendar week at the Desk receives an uplink schedule that names the nodes going live, the nodes going quiet and the engineer on call. The schedule is shared with the partners it covers, normally on Monday morning Singapore time. A partner should read the schedule for the week and raise a conflict before the week begins where possible.
Changes to a published schedule are permitted where a fault must be repaired or a session must be moved. A change is recorded by the coordinator who owns the week, and the affected partner is told in writing. The Desk aims to give at least one working day of notice for a planned change and will give as much notice as the circumstances allow for an unplanned one.
A partner who needs a particular node kept live during a busy period should say so in advance so that the week can be planned around it. The Desk cannot guarantee to hold a node live on a schedule that has already been published, but it will consider the request seriously.
10. Audits and Removal
The Desk audits the shelf once each season and may run an extra audit after a significant change in a partner network. An audit opens every advertised link, checks that it resolves, that its subject still fits the plate entry and that it belongs to the named partner. Anything stale is removed the same day and the partner receives a short note.
Removal at audit is not a penalty. It is the routine that keeps the shelf worth reading, and it applies equally to every partner. A link removed at audit may be restored once a replacement anchor is agreed and tested. The Desk will usually propose a replacement anchor from the same bay so that the partner does not lose its position outright.
The Desk may also remove a link outside the audit cycle where a page becomes unlawful, harmful or misleading, or where a partner asks for its own link to be removed. A removal is recorded on the ticket with the date and the reason, and the record remains available to the partner on request.
11. Splice Sessions and Handover
A splice bay session is booked in a block of two hours. The partner may attend in person at 10 Jalan Besar #13-04 Sim Lim Tower 208787, Singapore (SG), or listen by telephone. The Desk will confirm the booking in writing and will name the coordinator who will run the session.
A partner who cancels a booked session with less than one working day of notice may be charged for the reserved time where the Desk has already prepared the plate. A partner who cancels with more notice is rescheduled without charge. If the Desk cancels a session, the partner is offered the next available block and no charge is made.
A handover evening closes the build. Every label is read back, every route is confirmed and the sheet is signed by both sides. If a problem is found at handover, the build returns to the splice bay and a new evening is booked. The Desk does not regard a build as complete until the signed sheet exists, and the partner is not obliged to accept a build that has not been tested.
12. Fees and Invoicing
Fees are stated in the written order confirmation for each build. The first review of a ticket is free of charge, and no fee arises unless a build is accepted and a session is booked. Where a routine is billed by the day, the confirmation names the day rate and the expected number of days.
Invoices are issued in Singapore dollars and are payable within thirty days of the invoice date unless the confirmation says otherwise. Amounts that remain unpaid after the due date may attract a late charge at the rate stated on the invoice. The Desk may pause work on an open build while an undisputed invoice remains unpaid, and will give notice before doing so.
Fees exclude any tax that the law requires to be added, which will be shown separately on the invoice. A partner who believes an invoice is wrong should raise the point in writing within fourteen days of receipt so that the record can be checked before the due date. Disputed amounts are not treated as overdue while the review is open.
13. Intellectual Property
The Desk retains ownership of its plate layouts, its ticket templates, its schedule formats, its audit method and the written material published on the website. The partner receives a licence to use the plate sheet and the records that concern its own network for the purposes of its business, and that licence continues for as long as the record is held.
The partner retains ownership of its own pages, its marks and its content. Nothing in these terms transfers a partner mark to the Desk, and nothing transfers a Desk layout to the partner. Where a plate sheet is published, the partner may present it as a service output of the Desk and may not claim to have produced the layout itself.
A party that wishes to reproduce a record outside these purposes should ask first. The Desk is normally willing to agree where the reproduction supports the shelf and does not mislead a reader.
14. Confidentiality
Each side may receive information about the other that is not public, such as coordinator notes, unpublished schedules, commercial terms and technical details of a network. Each side agrees to keep that information confidential, to use it only for the work under the agreement, and to share it only with people who need it for that work.
Confidentiality does not apply to information that is already public, that the receiving side already held lawfully, that is independently developed without use of the disclosing side information, or that the law requires to be disclosed. Where disclosure is required by law, the receiving side gives as much notice as it can so that the other side can respond.
Confidentiality survives the end of the agreement. A record that was confidential during the work remains confidential after the shelf changes, for as long as the information retains value to the party that shared it.
15. Privacy and Records
Personal data is handled as described in the privacy policy, which forms part of this agreement. The partner agrees that the Desk may keep the records described in that policy, including ticket notes, plate sheets, schedules, audit logs and signed handover sheets, for the periods stated there.
The partner agrees that business details published on a plate, such as a page address and a subject description, are intended to be public. The partner should not place confidential information in a subject description or a public plate entry, because the Desk cannot control what a reader does with a published page.
Where the Desk receives a request from an individual to access or correct personal data, it will handle the request under the privacy policy and will inform the partner where the request concerns a record the partner provided. The partner agrees to cooperate with a reasonable request in a timely manner.
16. Availability and Faults
The Desk aims to keep its website and record systems available during business hours, which are Monday to Friday from 09:00 to 18:00 Singapore time. The Desk does not promise uninterrupted availability, because servers, networks and providers can fail. Planned maintenance is scheduled outside busy sessions where possible and is announced in advance.
A partner who notices a fault should report it to admin@nmkglobal.lol or call +14068366779. The Desk will acknowledge the report within one working day and will aim to repair a fault that affects a live connection before the next schedule week. A fault that the Desk cannot repair, because it lies in a partner page rather than in the Desk systems, is reported back to the partner with a clear description.
Where a fault prevents a booked session from going ahead, the session is rescheduled at no charge. Where a fault prevents a live connection from being served, the Desk will tell the affected partners and record the event on the ticket.
17. Limitation of Liability
To the extent permitted by law, neither side is liable to the other for indirect or consequential loss, loss of profit, loss of business opportunity or loss of reputation arising from the work under this agreement. This limitation does not apply to a breach of confidentiality, to wilful misconduct, or to any liability that the law does not allow to be excluded.
The total liability of the Desk for all claims under an order is limited to the fees paid for the build covered by that order. Where no fee has been paid because the work was in review, the Desk liability is limited to the honest correction of any record it has produced.
Nothing in these terms limits the liability of either side for death or personal injury caused by negligence, for fraud, or for any other matter that cannot lawfully be limited. Each side is responsible for its own site content and for the rights of its own readers and partners.
18. Indemnity
The partner agrees to indemnify the Desk against claims, losses and reasonable costs arising from the partner content, from a page address supplied without authority, from a breach of a third party right, or from the partner misuse of the Desk. This obligation continues while the record is held and for the period of any legal claim that arises from the work.
The Desk agrees to indemnify the partner against claims arising from the Desk own breach of these terms, from a failure to protect confidential information, or from a defect in a plate layout that the Desk produced. The Desk indemnity is subject to the limitation of liability above.
A party seeking indemnity must give prompt notice of a claim, must allow the other side to participate in the defence, and must not settle a claim in a way that admits fault on the other side without consent.
19. Suspension and Termination
Either side may end the agreement for an open ticket by giving written notice. On ending, the Desk closes the ticket, removes the affected links from the shelf at the next scheduled point, and confirms the closure in writing. Fees for work already completed remain due.
The Desk may suspend a partner immediately where a placed page becomes unlawful or harmful, where a partner misuses the Desk, or where an undisputed invoice remains unpaid after notice. Suspension is confirmed in writing with the reason, and the partner can respond. The Desk will lift a suspension once the underlying issue is resolved.
Records continue to be held after termination for the periods stated in the privacy policy. Termination does not remove the obligation of confidentiality, and it does not affect any clause that by its nature is meant to survive.
20. Governing Law and Disputes
These terms are governed by the laws of Singapore. The parties will first try to resolve any dispute through discussion between the coordinator and the partner contact named on the ticket. If discussion does not resolve the matter within twenty working days, either side may escalate it to the desk lead and then to a written mediation process agreed by both sides.
If a dispute is not resolved by mediation, it may be brought before the courts of Singapore, and each side submits to their jurisdiction. Nothing in this clause prevents a party from seeking urgent relief where there is a risk of harm to a person or to a live connection.
Before starting formal proceedings, a party should set out the issue in writing and give the other side a reasonable chance to respond. The Desk keeps its records carefully precisely so that disputes can be examined against the written trail rather than remembered impressions.
21. Changes to These Terms
The Desk may revise these terms when it changes a routine, a supplier or a legal requirement. A revised version is published on this page with a new effective date. Where a revision materially affects an open build, the partner is told in writing before the revision takes effect and may end the affected work if the revision is not acceptable.
A revision applies to work started after its effective date. Work already accepted under an earlier version continues under that version unless both sides agree otherwise in writing. Previous versions are kept for three years and may be supplied on request.
Continuing to use the Desk after a revision takes effect means that the revised terms apply to any new ticket. It does not change the terms of a closed ticket, since that record stands as it was created.
